We are seeking a highly qualified and experienced Legal and Compliance Officer to join our organization. As a Legal and Compliance Officer, you will play a crucial role in providing legal, financial, and strategic advice during and outside of Board and General Meetings. Your responsibilities will include handling regulatory relations, legal documentation, and due diligence to ensure the organization’s compliance with relevant laws and regulations.

Key Responsibilities:

  1. Provide expert legal counsel and advice to the Board of Directors and General Meetings on various matters affecting the organization.
  2. Conduct thorough research and analysis of laws, regulations, and policies to stay up-to-date with any changes that may impact the organization’s operations.
  3. Draft, finalize, and maintain duly signed records of the minutes for Board of Directors meetings, General Meetings, and Annual General Meetings (AGM).
  4. Undertake liaison works with external regulatory authorities, legal entities, and stakeholders to ensure compliance with relevant requirements.
  5. Handle legal documentation and contracts, ensuring accuracy, compliance, and proper execution.
  6. Oversee due diligence processes related to legal and regulatory matters, both internally and externally.
  7. Collaborate with different departments within the organization to ensure alignment with legal and regulatory standards.
  8. Develop and implement internal policies and procedures to ensure adherence to legal and compliance requirements.

Qualifications:

  1. Minimum of 3 years or more of working experience in a public company’s operations and policies, preferably in a legal or compliance-related role.
  2. Master’s in Law (LLM) from a recognized university, with a strong academic record.
  3. Fluency in English and Nepali, both in speaking and writing, to effectively communicate with stakeholders and produce accurate legal documents.
  4. In-depth knowledge of relevant laws, regulations, and compliance standards.
  5. Strong analytical and problem-solving skills with attention to detail.
  6. Excellent interpersonal and communication skills, with the ability to collaborate and build relationships across the organization.
  7. Demonstrated ability to handle confidential and sensitive information with utmost professionalism and integrity.
